Volue AS confirms it will not proceed with an acquisition of Energy One at this time

Oslo, 3. September 2026, Volue AS ("Volue") refers to the non-binding, indicative offer submitted to the board of directors ("Board") of Energy One Limited ("Energy One") on 22 July 2026 ("NBIO"). Despite repeated efforts to work collaboratively with Energy One to find a pathway to an attractive agreement, the Energy One Board has not engaged with Volue.

Volue AS confirms it will not proceed with an acquisition of Energy One at this time 

Volue AS ("Volue") refers to the non-binding, indicative offer submitted to the board of directors ("Board") of Energy One Limited ("Energy One") on 22 July 2026 ("NBIO"). Despite repeated efforts to work collaboratively with Energy One to find a pathway to an attractive agreement, the Energy One Board has not engaged with Volue.  
After Volue submitted its NBIO, Energy One entered into an agreement with Fluxys UK Limited ("Fluxys") to acquire Gas Management Services Limited ("GMSL") for all-scrip consideration. The exclusivity granted to Fluxys in support of the GMSL transaction further limited Volue’s ability to engage with Energy One. GMSL is a business which Volue is familiar with. Importantly, Volue does not consider GMSL to be additive to Volue’s strategy of becoming the leading global electrification technology platform. 
As a result of these developments, Volue has decided, at this point, not to pursue the acquisition of Energy One further. 
Volue has retained Rothschild & Co as financial adviser, Clifford Chance as legal adviser, and New World Communications as communications adviser.
